Job Overview

This is a contract /as needed position and can be remote.

We are looking for a Contract Attorney to draft and review subscription agreements, professional services agreements, data processing agreements, statements of work, partner agreements, and nondisclosure agreements, for domestic and international prospects, customers, and resellers.

The ideal candidate has 3 years of contracts review and redlining experience, with at least 2 years involved with software licensing and hosted service agreements, and nondisclosure agreements. The ideal candidate can quickly identify major legal issues and risks and provide excellent recommendations. This is a full-time position or 25 - 30 hours per week.

Job Responsibilities

· Draft, review and analyze a wide variety of customer agreements including license agreements, hosted service agreements, data processing agreements, BAAs, renewal agreements, statements of work and non-disclosure agreements.
· Help create and improve upon standard form agreements.
· Research domestic and international laws related to corporate law and software sales.
· Quickly identify the major legal issues and risks presented and provide recommendations.
· Draft and review general corporate agreements as necessary.

Job Requirements

· Licensed in good standing, preferably licensed in the state of California.
· At least 3 years of experience in contracts review and redlining, with at least 2 years involved with software licensing and hosted service agreements, data processing agreements, BAAs, and nondisclosure agreements.
· Experience in reviewing and drafting reseller agreements.
· Practical understanding of business issues.
· Excellent organizational, analytical, written, and verbal communication skills.
· Excellent attention to detail.
